GrowGeneration Adds 5 New Stores with Acquisition of The GrowBiz

Denver-based GrowGeneration (NASDAQ: GRWG) continued its acquisition streak Monday, announcing plans to purchase The GrowBiz, the third-largest chain of hydroponic garden centers in the United States.

Specific financial terms of the deal were not disclosed, but the acquisition will add $50 million in annual revenue to GrowGeneration’s books, according to a news release.

It is the company’s third acquisition announcement in the last three weeks. Last month, GrowGeneration acquired Big Green Tomato, a two-store retailer in Michigan, and Phoenix, Arizona’s Hydroponics Depot.

The GrowBiz was founded in 2010 by Ross and Ryan Haley, and boasts five locations across California and Oregon.

When the transaction closes, GrowGeneration will operate 10 hydroponic garden centers in California and two stores in Oregon. Ross Haley will also become a strategic advisor to the company.

“The GrowBiz acquisition represents our continued investment in purchasing the 'best of breed' hydroponic operations in the U.S. and strengthening our management team with seasoned veterans from our industry,” GrowGeneration CEO Darren Lampert said via the release.

GrowGeneration currently has 31 locations across 11 states, a figure that will grow to 36 with the purchase of The GrowBiz.

The company has plans to operate as many as 50 stores by the end of 2021, and its most recent acquisitions have added more than $70 million in revenue to its books.

According to an October investor presentation, GrowGen’s entire 2019 revenue was roughly $79 million, and the company is on pace to nearly double sales in 2020. Through the first six months of the year, its revenue totaled $76.4 million.

Shares of GRWG were up 6.4%, to $17.78, as of press time.

The transaction is expected to close before fiscal year-end 2020. Founded in 2010 by Ross and Ryan Haley, The GrowBiz comes with a team of experienced executives and more than 60 full and part-time employees. Prior to founding The GrowBiz, Ross Haley served as CEO of Hawthorne Gardening Company, a division of Scotts Miracle-Gro, and General Hydroponics, two recognized leaders in the hydroponics industry. Upon close, Ross Haley will become a senior strategic advisor to the Company.

The addition of The GrowBiz is expected to generate annual revenues approaching $50M. The acquisition will bring the total number of GrowGen hydroponic garden centers in California to ten and Oregon to two. The new GrowGen locations include Rocklin, Cotati, Santa Cruz and San Luis Obispo, California, and Portland, Oregon.
