Cresco Labs Terminates Planned Acquisition, Unloads 2 Properties
Chicago’s Cresco Labs today said it would sell two cultivation and processing properties to Innovative Industrial Properties, and terminate the previously announced acquisition of Florida’s VidaCann Ltd.
In a press release, Cresco Labs co-founder and CEO Charlie Bachtell said the moves would add about $158 million to the balance sheet.
Cresco Labs’ sale of properties in Yellow Springs, Ohio and Marshall, Michigan will net the company about $38 million. Once completed, Cresco said it would enter into long-term lease agreements with Innovative Industrial Properties, a real estate investment trust (REIT) for the medical-use cannabis industry.
The property sales are expected to close within the next 30 days, the company added.
Innovative Industrial Properties previously spent $32.8 million to acquire two of Cresco’s properties in Illinois. According to its website, Innovative currently owns 28 propoerties across the U.S., and has lease-back agreements with well-known cannabis companies like Vireo Health and PharmaCann.
Meanwhile, Cresco’s decision to forgo its proposed acquisition of VidaCann, a Florida-based medical marijuana dispensary chain, will save the company about $120 million.

The moves are partially aimed at giving Cresco Labs a better opportunity to compete in Illinois, where recreational marijuana sales are set to begin in 2020.
“On Jan. 1, our home state of Illinois will migrate from a $250 million medical program to an estimated $2 billion -- $4 billion adult-use market at maturity,” Bachtell said. “We currently have the leading market share and, as the only company with three cultivation [and] manufacturing licenses, we have an unmatched opportunity to materially increase our market lead.”
California, where the company is acquiring Origin House, and Pennsylvania were also noted as focus markets.
“We believe it’s in the best interest of our shareholders to re-allocate resources to these existing higher return opportunities with a view to looking for a more capital efficient way to enter the Florida market over the longer term,” Bachtell added.
Cresco also released its third quarter earnings results today. The company reported Q3 revenue of $36.2 million, growth of 21% versus last quarter, and a net income loss of $8.6 million. For the nine-month period ending September 30, 2019, Cresco reported a net income loss of more than $20 million compared to revenue of $87 million.

The Company has signed binding agreements to sell its Yellow Springs, Ohio and Marshall, Michigan properties to Innovative Industrial Properties, Inc. (“IIP”) for approximately $38 million in total, which amount includes funding for additional tenant improvements at both properties. Concurrent with the closing of the sale, Cresco Labs will enter into long-term, triple-net lease agreements with IIP and will continue to operate each property as a licensed cannabis cultivation and processing facility. The two properties represent approximately 166,500 square feet of industrial space in aggregate. The sales of the properties are expected to close within the next 30 days, with closings subject to IIP’s completion of diligence and satisfaction of customary closing conditions.
